These Terms and Conditions (“Terms”) govern your access to and use of the 1TWH website, services, and platform (collectively, the “Service”) located at [YourWebsiteURL.com]. The Service is provided by 1TWH (“we,” “us,” “our”).

Please read these Terms carefully before using our Service. By accessing, registering for, or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, you may not access or use the Service.

1. Definitions

  • “Platform” refers to the 1TWH website and the technology we provide to build eCommerce stores.
  • “Partner” (also referred to as “you,” “your”) refers to an individual or entity that has registered for an account with 1TWH to create and operate a store selling digital products.
  • “Store” refers to the individual eCommerce website created by a Partner using the 1TWH platform.
  • “Customer” refers to an end-user who purchases a digital product from a Partner’s Store.
  • “Digital Product” refers to downloadable digital content, such as eBooks, provided by 1TWH for sale by Partners.

2. Account Registration and Eligibility

  • To use the Service, you must be at least 18 years of age and capable of forming a binding contract.
  • You must provide accurate, current, and complete information during the registration process.
  • You are responsible for safeguarding your account password and for all activities that occur under your account.
  • You agree to notify us immediately of any unauthorized use of your account.

3. Services and Partner License

  • 1TWH grants you a limited, non-exclusive, non-transferable, and revocable license to use our Platform to create and operate a single Store for the purpose of selling the Digital Products we supply.
  • You may use the Platform only for lawful purposes and in accordance with these Terms.
  • We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

4. Partner Responsibilities and Conduct

As a Partner, you agree:

  • Prohibited Activities: You will not use the Service to:
    • Sell any physical goods or any digital products not provided by the 1TWH library.
    • Engage in any fraudulent, misleading, deceptive, or illegal activities.
    • Upload or distribute viruses or other malicious code.
    • Harass, abuse, or harm other persons or entities.
    • Infringe upon the intellectual property rights of others.
  • Customer Data: You will have access to Customer data (e.g., names, email addresses) solely for the purpose of fulfilling orders and providing customer support for your Store. You must handle this data in compliance with all applicable privacy laws and our Privacy Policy.
  • Taxes: You are solely responsible for determining what, if any, taxes apply to your sales and for collecting, reporting, and remitting the correct taxes to the appropriate tax authority. 1TWH is not responsible for calculating or collecting sales taxes on your behalf.

5. Fees, Payment, and Payouts

  • Partnership Fee: Access to the Platform requires payment of a one-time partnership fee, as specified at the time of sign-up. This fee is non-refundable.
  • Partner Profits: Partners retain 40% 60% 80% of the revenue from sales made through their Store, in accordance to partner membership tier, net of payment processing fees charged by third-party processors (e.g., Stripe, PayPal).
  • Payouts: Payouts of your accumulated revenue will be processed on a monthly basis to your connected payment paypal account only.

6. Intellectual Property

  • 1TWH’s IP: The 1TWH Platform, its original content, features, functionality, and the library of Digital Products are and will remain the exclusive property of 1TWH and are protected by international copyright, trademark, and other intellectual property laws.
  • Partner’s IP: The content you create for your Store (such as your store name, branding, and marketing materials) is your responsibility. You represent that you have the necessary rights to use such content.
  • Digital Products License: 1TWH grants you a non-exclusive license to sell the Digital Products we supply to your Customers. You may not redistribute, resell, or modify these products.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, 1TWH, ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

9. Indemnification

You agree to defend, indemnify, and hold harmless 1TWH and its licensors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right; or (d) any claim that your Store caused damage to a third party.

10. Termination

  • We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
  • Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive.

11. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved through final and binding arbitration in Singapore in accordance with the rules of Arbitration Body.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Your continued use of the Service after any change constitutes your acceptance of the new Terms.
